1. Who we are, and accepting these terms
HodlHabit is a service operated by Wagyu Software Inc. ("HodlHabit", "we", "us"). You can reach us at hello@hodlhabit.com, and our address for legal notice is 6-2160 Highway 7, Suite 442, Vaughan, Ontario, Canada L4K 1W6.
When you create an account, you must accept these Terms and acknowledge our Privacy Policy. Optional analytics and marketing choices are separate. If you do not agree to these Terms, do not create an account or enable automated execution. We record the date and version of your acceptance.
You must be at least 18 years old and legally able to enter a contract. You must not use HodlHabit if you are located in, or ordinarily resident in, a jurisdiction subject to comprehensive sanctions, or if you appear on a sanctions list that applies to us. We do not collect your date of birth or your country, so we rely on your confirmation here rather than verifying it.
2. What the service does
HodlHabit is a Bitcoin dollar-cost-averaging tracker and strategy tool. It provides:
- A portfolio tracker. You import purchases by CSV from a supported exchange, or enter them by hand. HodlHabit charts them against Bitcoin's price history and long-term models, and calculates statistics including average cost, a discipline score, goals and realised profit and loss on sales.
- A Dynamic DCA builder and backtester. You compose rules — for example, buying more when Bitcoin trades below its power-law or 200-week models — and test them against historical data.
- Automated execution. Where available to you, HodlHabit can place market buy orders on an exchange you connect, using an API key you supply. See section 5.
- Exchange auto-sync. Where available to you, HodlHabit can read your executed spot trades from a connected exchange and add them to your portfolio. See section 5.
- Email. A weekly summary, notifications about automated buys, and service messages.
Tracking and backtesting do not place orders. Automated execution is an optional feature that you must separately enable on a supported exchange. Exchange auto-sync imports trade history and does not itself place orders. Availability depends on your plan, the exchange, your account permissions and local restrictions. A supported exchange is not a promise that it serves your country.
We may add, change or withdraw features. If we withdraw something you are paying for, section 8 applies.
Tracker accuracy and your records
Portfolio values and statistics depend on the records you provide, import coverage and available price and exchange-rate data. Missing or duplicate trades, transfers, unsupported transaction types, timestamps, rounding and incomplete fee information can change the results. Review imports before relying on them; your exchange statements remain the source for what actually traded.
Displayed valuations may use delayed or historical prices and may differ from a tradable price. Realised profit and loss uses average cost from the transactions available to HodlHabit; it is not a tax return or a determination of the cost-basis method required in your jurisdiction. Keep your own records and seek tax advice where needed.
3. What HodlHabit is not
HodlHabit is a software tool. It is not:
- an exchange account or a service for depositing funds with HodlHabit;
- a custodial wallet — your assets remain with your exchange or wallet provider. Our exchange integration does not provide withdrawals or transfers;
- a personalized investment recommendation or a suitability assessment;
- a source of financial, investment, legal or tax advice.
You choose your purchases, rules and settings. Where HodlHabit places a buy order, it submits instructions you configured in advance to your exchange account. Technical support explains how the software works; it does not select a strategy, investment amount or risk level for your circumstances. Nothing here limits duties or protections that applicable law makes mandatory.
4. Your account and exchange connections
You are responsible for your login credentials and for everything done through your account. Tell us promptly at hello@hodlhabit.com if you believe it has been compromised.
If you connect an exchange, you must supply an API key that can trade but cannot withdraw. We verify this before storing anything:
- We probe the key against the exchange first. On Coinbase and Binance we read the key's own permission flags; on Kraken we confirm that a withdrawal call is refused.
- If the key can withdraw, or if we cannot positively confirm that it cannot, we reject it and store nothing — the key never reaches our database.
- Only after the key passes is it encrypted and saved.
You remain responsible for your exchange account, for that exchange's own terms, for keeping sufficient balance, and for your taxes. You can disconnect at any time, which destroys the stored key material on our side. Disconnecting does not delete the key at your exchange — you should also delete it there, which is what fully revokes it.
We do not currently re-check a key's permissions after the initial connection, and we cannot detect it if you later widen its scope at the exchange.
The permissions granted to an API key may be broader than the operations HodlHabit implements. A trade-capable key can create trading risk even when withdrawals are disabled. Keep credentials private, restrict permissions and access where your exchange supports it, and revoke a compromised key at the exchange immediately. Never send wallet recovery phrases or credentials in a support message.
5. Automated execution and auto-sync
When you enable live execution, you authorize HodlHabit to submit market buy orders using the selected connection, schedule, strategy and safety limits, without asking before each order. This authorization lasts until you disable execution or disconnect, subject to the timing limitations below. Our connectors implement buying and trade-history reads, not selling, cancelling orders, transferring or withdrawing assets. The exchange executes orders under its own agreement with you.
How it runs
- You configure the schedule, the amounts, any reserve, and the safety limits.
- A strategy must complete a clean dry run before it can go live. A dry run validates the order with the exchange without placing it.
- Live execution additionally requires you to type a confirmation phrase and acknowledge the risks.
- Every evaluation and order is written to an audit log you can review.
Limits that protect you
- A per-order maximum and a daily cap on each connection (defaults: $250 per order, $500 per day).
- On the free plan, a cap on live buys of $25 per rolling seven days, measured across all your connections.
- Orders that would exceed a limit are skipped entirely, never resized, and recorded as blocked.
- You can disable execution at any time, and we may pause a strategy after errors.
What we do not promise
Disabling or pausing execution stops future work once the service observes the change; it cannot undo a filled order or guarantee that a request already in progress will stop. Disconnecting removes the stored key from active use, but you should also revoke it at the exchange. Closing your browser or cancelling Pro does not disable your strategies.
An exchange may reject an order, fill it in parts or report its final price and fees later. Displayed execution records may be provisional until reconciled. Duplicate-prevention controls reduce repeat submissions but do not guarantee error-free execution. Do not manually repeat an order just because a notification or response is missing; check the exchange first. Missed or blocked schedule periods are not a promise of later catch-up purchases.
We do not guarantee that any order will execute, or execute at a particular price, quantity or time. Exchange outages, rate limits, rejected orders, insufficient balance, slippage, price movement between evaluation and execution, trading fees, and changes to an exchange's API are outside our control. Scheduled runs depend on infrastructure that can fail or be delayed. You should monitor your account and your exchange rather than assume a buy happened.
Auto-sync reads executed spot trades only. Purchases made through an exchange's instant-buy or convert features are not exposed by the trade APIs we use and will not appear. Imported rows are a convenience, not an authoritative record — your exchange's own statements are. Review them, and note that we do not provide tax advice.
6. Backtests, models and presets
Backtests are hypothetical. They apply rules to historical prices with the benefit of hindsight, ignore some real-world frictions, and are not a prediction. Past performance does not indicate future results.
The power-law and 200-week models are descriptive statistical fits to past price data. They are not forecasts, they can be wrong for long periods, and they may be revised or retuned. Presets we ship are starting points, not recommendations.
Historical strategy comparisons are sensitive to the period selected, starting reserve, contribution schedule, model assumptions, fees and data quality. Presets may have been selected or tuned using historical performance. Charts, example portfolios and screenshots may be simulated or illustrative; they do not represent a promise of customer returns. A successful dry run checks a proposed request, not future profitability or guaranteed execution.
7. Risk disclosure — not financial advice
Nothing in HodlHabit is financial, investment or tax advice. We do not know your circumstances and we do not recommend that you buy or sell anything.
Bitcoin is volatile and you can lose money, including all of the money you put in. Its price can fall sharply and stay down for years. Dollar-cost averaging is a way of pacing purchases; it does not protect you from loss, and no rule set, model or discipline score changes that.
Automated buys spend real money on your exchange, on a schedule you set, without asking you each time. If your rules are wrong, or you forget them, they will still run within the limits you configured. Only commit money you can afford to lose, and review your configuration regularly.
Other risks include compromised credentials, software or data errors, exchange restrictions, insolvency, loss of access, liquidity shortages and changes in law. Safety limits reduce exposure but do not eliminate losses, and a spending cap is not a cap on losses in assets you already own. HodlHabit cannot recover funds held by a failed exchange. Notifications may be delayed or undelivered; monitor your exchange and active strategies.
8. Subscriptions and billing
The tracker, the builder and backtests are free. Pro is a paid plan, billed monthly or annually through Stripe, which auto-renews until you cancel. Current prices are shown in the app before you pay; we will give notice before a price change affects you. Prices exclude any taxes we are required to collect.
You can cancel in Settings → Subscription → Manage billing. Cancelling stops the next renewal and you keep Pro until the end of the period you have paid for. Ordinary cancellation does not produce a prorated refund, subject to the refunds and service-withdrawal provisions below and any mandatory consumer rights. The currency, billing interval and price are shown before purchase; exchange trading fees are separate from your subscription.
Refunds
You may request a full refund within 14 days of your first paid Pro purchase, whether monthly or annual. This first-purchase policy does not restart on renewal, a plan change or a new account. Email hello@hodlhabit.com from your account address with the charge date and receipt reference; never send a full card number or API key.
Duplicate, incorrect or unauthorized subscription charges and material failures to provide a paid service are reviewed separately from the first-purchase window. Contact us promptly with the relevant details. Approved refunds return through the original payment method; bank processing times vary. Subscription refunds do not reimburse exchange fees or trading losses. Nothing in this policy removes a refund, cancellation or other remedy required by applicable law.
Changes to paid services
We will give advance notice of price increases before they apply to a renewal so you can cancel. If we permanently discontinue Pro or materially withdraw a paid core feature during your prepaid term, we will notify you where practicable and offer an appropriate replacement you can choose to accept, or cancellation with a proportionate refund for the unused affected period. Temporary maintenance and third-party outages are distinct from permanent withdrawal and do not reduce your mandatory rights.
If Pro ends
If your subscription lapses or payment fails, your account returns to the free plan's limits. In practice that means live buys are capped again at $25 per rolling seven days, and exchange auto-sync stops at the next scheduled run.
Nothing is deleted, and strategies you already had running are not switched off. You keep any automations and exchange connections you created while on Pro, and they continue to run inside the free plan's spending limits. You will not be able to add new ones beyond the free plan's allowance, and while you hold more exchange connections than the free plan allows you may not be able to change them until you disconnect down to the free limit.
9. Acceptable use
You agree not to:
- use the service unlawfully, or to breach your exchange's terms;
- attempt to access another user's data, or interfere with the service's security;
- scrape, resell, or build a competing service from our data or interfaces;
- place automated load on our systems or our upstream providers beyond normal use;
- misrepresent who you are, or supply API keys that are not yours.
10. Intellectual property and feedback
The service, its software, design and content are ours or our licensors'. You get a personal, non-exclusive, non-transferable right to use it while these terms are in force. Your data stays yours; you grant us only the permission needed to operate the service for you.
If you send us feedback or suggestions, we may use them without obligation or payment to you.
11. Third-party services
HodlHabit depends on external service providers and connected exchanges for hosting, security, payments, communications, market data, assisted import features and exchange connectivity. Their availability, terms and pricing are outside our control, and an outage or change affecting any of them can degrade or interrupt the service. The Privacy Policy explains how we handle information shared for these purposes.
12. Your data
How we handle personal data is set out in the Privacy Policy. Two points belong here because they affect what you can expect:
- Deleting an upload removes its transactions straight away; we keep the uploaded file for 60 days and then delete it permanently and automatically (see the Privacy Policy). The import record (which exchange, how many rows were read, and when) is kept so we can investigate problems.
- The execution audit log is append-only. Records of evaluations and orders are kept for integrity and cannot be edited or deleted from within the app.
To request deletion of your account and data, email hello@hodlhabit.com. We handle deletion requests on an ad hoc basis, subject to information we must retain for legal, security or dispute purposes.
13. Disclaimer of warranties
The service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, to the fullest extent the law allows. We do not warrant that the service will be uninterrupted, timely, secure or error-free; that prices, models, statistics or imported trades will be accurate or complete; or that any order will be placed or filled.
Some jurisdictions do not allow certain warranties to be excluded, in which case those exclusions do not apply to you.
14. Limitation of liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, nor for lost profits, lost opportunity, or any loss in the value of Bitcoin or other assets — including losses arising from an order that was placed, an order that was not placed, a delay, a price difference, or data that was inaccurate or incomplete.
Subject to the exclusions below, our total aggregate liability arising out of or relating to the service is limited to the greater of the fees you paid to us in the 12 months before the event giving rise to the claim or CAD 100.
These exclusions and limits do not apply to fraud, wilful misconduct, gross negligence, or any liability or remedy that cannot lawfully be excluded or limited. Mandatory consumer and data-protection rights continue to apply. These Terms do not transfer responsibility for our own unlawful conduct to you.
15. Indemnification
To the extent permitted by applicable law, you are responsible for reasonable losses and costs arising from third-party claims caused by your unlawful use of the service or material breach of these Terms. This does not cover losses caused by our own breach, negligence or misconduct. We will notify you of a claim and allow reasonable participation in its defence; no settlement may impose an admission or non-monetary obligation on you without your agreement.
16. Suspension and termination
You may stop using the service at any time and ask us to close your account. We may suspend or terminate access if you breach these terms, if we are required to by law, or if continuing would create a security or legal risk — and, where it is reasonable to do so, we will tell you why.
An email requesting closure is not an immediate trading stop. Disable execution and revoke keys at the exchange first if you want trading to stop now. When we process closure, we disable automated execution and revoke stored connections; requests already submitted to the exchange may still complete. Subscription cancellation and data deletion are separate steps, which we confirm when processing your request. Rights and obligations intended to continue, including payment owed, permitted record retention, liability and dispute provisions, survive termination.
17. Changes to the service and to these terms
Material changes will be announced in the app or by email with their effective date, and we will ask you to accept the revised Terms explicitly. We retain previous versions and can provide the version that applied to your account on request. New live activation requires acceptance of the current version and the automation risk acknowledgment. A version update does not itself cancel existing trading instructions or change their scope; any required deadline or interruption for existing automation will be stated in the notice. You can disable execution, cancel your subscription or request closure if you do not accept a change.
18. Governing law and venue
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. The courts of Ontario have exclusive jurisdiction, subject to section 19 and to any mandatory consumer protections in your own country.
19. Resolving disputes
If something goes wrong, contact hello@hodlhabit.com. We aim to resolve complaints informally within 30 days. This process does not prevent you from seeking urgent relief, contacting a regulator, exercising mandatory consumer rights or filing a claim within an applicable deadline. If unresolved, section 18 applies. These Terms do not require mandatory arbitration or waive rights that applicable law protects.
20. General
- Force majeure. We are not liable for failures caused by events beyond our reasonable control, including outages at exchanges, hosting providers or payment processors.
- Assignment. You may not assign these terms. We may assign them to a successor of the business, on notice.
- Severability. If a provision is unenforceable, the rest stays in force.
- No waiver. Not enforcing a provision does not waive it.
- Entire agreement. These terms and the Privacy Policy are the whole agreement between us about the service.
